1. Acceptance of these Terms
These Terms of Service ("Terms") govern access to and use of Rejesho, a software-as-a-service platform for managing group and individual loans and collections, provided by Kaypee Group Limited ("Rejesho", "we", "us"). By creating an account, signing in, or otherwise using the Service, the microfinance institution and its Authorized Users agree to be bound by these Terms.
If you are entering into these Terms on behalf of an institution, you represent that you have the authority to bind that institution, and "you" refers to that institution as well as the individual accepting on its behalf. If you do not agree to these Terms, you must not access or use the Service.
2. Definitions
Rejesho: The software-as-a-service platform described in these Terms, operated by Kaypee Group Limited, including the web application, the platform console, and the SMS notification service.
Tenant / Institution: The microfinance institution or similar organization that has registered for the Service and on whose behalf data is entered and processed.
Authorized User: An individual granted access to the Service by a Tenant, in a role such as collector, loan officer, branch manager, finance, director, or tenant admin, and bound by these Terms through their use of the Service.
Member: A borrower of the Tenant institution whose loan and collection records are entered into the Service by Authorized Users. A Member has no direct account with, and no direct contractual relationship with, Rejesho.
3. Description of the Service
Rejesho is a cloud-based software platform that helps microfinance institutions digitize the paper member passbook: recording group and individual loans, weekly collections and repayments, and sending SMS receipts to Members. The Service is multi-tenant, meaning multiple institutions use the same underlying platform, with each Tenant's data kept separate and isolated from every other Tenant.
All monetary amounts recorded in the Service are denominated in Tanzanian Shillings (TZS). Rejesho is a software provider only. Rejesho is not a lender, is not a financial institution, is not a party to any loan agreement between a Tenant and its Members, and does not hold, disburse or guarantee any funds.
4. Accounts, Tenants and Access
Each Tenant's designated tenant admin is responsible for provisioning Authorized User accounts, assigning roles, and maintaining the security of credentials issued to their staff. The Tenant is responsible for all activity that occurs under its Authorized Users' accounts.
The Service supports sign-in by email address or phone number with a password, and, where enabled, sign-in with a Google account. Google sign-in is used solely to authenticate the identity of the person signing in; it does not grant Rejesho access to the user's Google account data beyond the name, email address and profile photo needed to complete sign-in.
Authorized Users must keep their credentials confidential and must promptly notify their tenant admin of any suspected unauthorized access.
5. Acceptable Use
The Service may be used only for lawful purposes connected to the management of loans and collections. You must not attempt to access, probe or interfere with another Tenant's data or account, attempt to circumvent the Service's access controls, or reverse engineer, decompile or disassemble any part of the Service.
SMS notifications are sent through a third-party provider at a per-message cost passed through to the Tenant. You agree not to use the Service to generate SMS volumes that are abusive, unrelated to genuine collection or loan activity, or intended to circumvent that cost.
6. Fees and Payment
Fees for the Service are billed in Tanzanian Shillings (TZS) according to the plan and payment terms agreed with the Tenant. Rejesho may suspend or restrict access to the Service for an account with fees that remain unpaid past the due date agreed with the Tenant, after reasonable notice.
7. Tenant Data Ownership
As between Rejesho and the Tenant, the Tenant owns all Member, loan and collection data it or its Authorized Users enter into the Service. Rejesho processes that data solely on the Tenant's instructions, to provide the Service, and does not use it for any other purpose. This is the same processor relationship described in Rejesho's Privacy Policy, where the Tenant acts as data controller for its Members' data and Rejesho acts as data processor.
8. Service Availability and Support
Rejesho works to keep the Service available and reliable but does not guarantee any specific uptime unless a service level is separately agreed in writing with the Tenant. Planned maintenance is carried out with reasonable care to minimize disruption.

9. Intellectual Property
Rejesho and its licensors own all right, title and interest in the Service, including its software, design, branding and documentation. These Terms do not transfer any of that ownership to the Tenant or its Authorized Users. The Tenant retains all ownership of the data and content it enters into the Service, as described in Section 7.
10. Termination
Either party may terminate a Tenant's subscription in accordance with the terms agreed at signup, or, where no other notice period is agreed, on 30 days' written notice. Rejesho may also suspend or terminate access immediately where a Tenant or its Authorized Users materially breach these Terms.
On termination, the Tenant may request an export of its data. Rejesho will make that export available for a reasonable period before the Tenant's data is deleted from the Service.
11. Disclaimers and Limitation of Liability
The Service is provided "as is" and "as available". To the fullest extent permitted by law, Rejesho disclaims all warranties, express or implied, regarding the Service.
Rejesho is not a party to, and accepts no liability for, the underlying loan or collection agreement between a Tenant and its Members, or for any dispute arising from that agreement. Rejesho's liability for any claim arising from these Terms is limited to the fees paid by the Tenant for the Service in the twelve months preceding the claim.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of the United Republic of Tanzania. Any dispute arising out of or relating to these Terms or the Service is subject to the exclusive jurisdiction of the courts of Dar es Salaam.
13. Changes to These Terms
Rejesho may update these Terms from time to time. The "Last updated" date at the top of this page reflects the date of the most recent revision. Where a change is material, Rejesho will communicate it to tenant admins in advance of it taking effect. Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.
