1. Introduction

These Terms and Conditions ("Terms") govern the use of the Rejesho software-as-a-service platform ("Rejesho", "Service", or "Platform") provided by Kaypee Group Limited ("we", "our", or "us"). By accessing or using the Service, you agree to comply with and be bound by these Terms. If you do not agree, you must refrain from using the Service.

2. Eligibility

The Service is intended for registered Microfinance Institutions (MFIs) and their authorized representatives within the United Republic of Tanzania. By registering, you represent that:

  • You are legally authorized to represent your institution
  • Your institution is licensed or permitted to operate in Tanzania
  • All submitted information is accurate and up to date

3. Scope of Services

Rejesho is a subscription-based SaaS platform providing tools for:

  • Customer onboarding
  • Loan and repayment management
  • Reporting and compliance tracking
  • Multi-user access with audit logging

Service availability, modules, and features may be updated, expanded, or removed at our discretion to ensure platform performance and compliance.

4. Account Registration & Responsibility

To use Rejesho, institutions must create an account. You are responsible for:

  • Ensuring that only authorized personnel access your institution’s account
  • Keeping credentials secure
  • All activities performed under your institution’s account

Kaypee Group Limited will not be liable for unauthorized access due to negligence on the part of the user.

5. Subscription, Pricing & Payment Terms

  • Monthly Subscription: TZS 49,000 (VAT inclusive)
  • Payment Terms: Payable in advance by mobile money, card, or bank transfer
  • Grace Period: 7 days after due date. Failure to pay within the grace period may lead to service suspension or account termination
  • Renewal: Subscriptions renew monthly unless canceled prior to renewal

6. Money-Back Guarantee (30 Days)

We offer a 30-day money-back guarantee to all new subscribing institutions.

To qualify:

  • You must submit a formal refund request within 30 days of your first payment

Refunds are issued within 10 business days upon approval. This guarantee applies only to the first payment and only for new clients.

Note: There is no free trial offered.

7. Data Ownership & Protection

  • Your institution retains full ownership of data submitted through the platform
  • We operate as a data processor under applicable Tanzanian laws
  • We implement commercially reasonable security protocols and regular backups
  • You are responsible for exporting your data for archival or compliance purposes

We do not access or use your data beyond what's required to operate the Service.

8. Confidentiality

All institutional data, transaction records, and platform activity are treated as confidential. We will not disclose or use such information except:

  • As required by law or regulator
  • With written consent from your institution
  • For internal diagnostics, compliance, or support purposes

9. Acceptable Use

Users are strictly prohibited from:

  • Reselling or sublicensing the platform
  • Attempting to reverse engineer or decompile any part of the platform
  • Using the platform for unlawful or unauthorized financial activities
  • Allowing access by unapproved third parties

Violations may result in immediate suspension and legal action.

10. Availability & Downtime

We aim for 99.9% uptime and continuous access to the Service. However, we may temporarily suspend access for maintenance, upgrades, or force majeure events. Notice will be provided in advance for planned maintenance.

11. Support Services

Support is available to subscribed institutions:

  • Business Hours: Monday to Friday, 9:00 AM – 5:00 PM (EAT)

12. Termination & Data Retention

We may terminate your access to the Service if:

  • You fail to pay subscription fees within the grace period
  • You breach any provision of these Terms
  • Your institution engages in prohibited activity

Upon termination:

  • Your account will be deactivated
  • Data will be retained for 30 days
  • After 30 days, data may be permanently deleted unless required for legal or regulatory reasons

You may also terminate your subscription at any time by written notice or through the dashboard.

13. Limitation of Liability

To the extent permitted by law, we are not liable for:

  • Loss of revenue, profits, or institutional goodwill
  • Regulatory penalties due to inaccurate data input
  • Technical issues outside our control

Our total liability in any claim will not exceed the subscription fees paid in the three months prior to the incident.

14. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the United Republic of Tanzania. Disputes shall be subject to the jurisdiction of courts in Dar es Salaam.

15. Modifications

We may update these Terms from time to time. When material changes occur, users will be notified via email or in-app message. Continued use of the platform after such updates constitutes acceptance of the new Terms.
